1. Agreement to Terms

Welcome to CoPaper.AI, an AI-powered research assistant platform operated by StatsPai, Inc. ("Company," "we," "us," or "our"). By accessing or using our websites (copaper.ai, statspai.com) and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to any part of these terms, please do not use our services.

These Terms constitute a legally binding agreement between you and StatsPai, Inc. Please read them carefully.

2. Eligibility

You must be at least 16 years of age to use our services. By using our services, you represent and warrant that you are at least 16 years old and have the right, authority, and capacity to enter into these Terms. If you are using the services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

CoPaper.AI provides AI-powered research assistant services, including but not limited to:

• Paper outline planning and structured templates
• Literature review synthesis
• Data upload and statistical analysis (CSV, Excel, JSON, Parquet)
• Econometric modeling and causal inference analysis
• Publication-ready paper content generation
• Robustness checks and statistical validation

4. Account Registration

To access certain features of our services, you must create an account. You agree to:

• Provide accurate and complete information during registration
• Maintain the security of your login credentials
• Promptly update your account information
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts for violations of these Terms.

5. User Content & Data

5.1 Your Content

You retain ownership of all content you upload to our services, including datasets, PDF documents, and research materials. By uploading content, you grant us a limited, non-exclusive license solely to provide our services to you.

5.2 Content Responsibility

You represent and warrant that:

• You have the necessary rights to upload the content
• Your content does not infringe any third-party intellectual property rights
• Your data does not contain illegal or harmful content
• You comply with all applicable privacy regulations for sensitive data

5.3 AI-Generated Content

To the extent permitted by applicable law, AI outputs generated by our services (including paper drafts, analysis reports, literature reviews) belong to you. However, you acknowledge that AI-generated content may not be entirely original, and you are responsible for verifying its accuracy and originality.

When using our services, you agree not to:

• Violate any applicable laws or regulations
• Infringe upon any intellectual property rights
• Upload malware or harmful code
• Attempt unauthorized access to our systems
• Interfere with the service or other users' use
• Misrepresent AI-generated content as entirely human-authored
• Use the service for academic misconduct
• Resell or commercially redistribute our services without authorization
• Upload data containing personal identifiable information unless you have a lawful basis

7. Subscription & Payment

7.1 Pricing

We offer both free and paid subscription plans. Pricing details are available on our website and may be subject to change with notice.

7.2 Billing

Paid subscriptions are billed on a recurring basis and will auto-renew unless cancelled before the end of the current billing period. All fees are non-refundable except as required by law or as otherwise stated in these Terms.

7.3 Free Trials

We may offer free trial periods. At the end of the trial, you will be charged the applicable subscription rate unless you cancel.

8. Intellectual Property

Our services, including but not limited to software, algorithms, user interfaces, trademarks, and branding elements, are the proprietary property of StatsPai, Inc. or its licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use our services in accordance with these Terms.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STATSPAI, INC. AND ITS DIRECTORS, EMPLOYEES, PARTNERS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, WHETHER OR NOT ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY FOR ALL CLAIMS EXCEED THE GREATER OF THE AMOUNTS PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR $100 USD.

11. Indemnification

You agree to indemnify, defend, and hold harmless StatsPai, Inc. and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the services; (b) your violation of these Terms; (c) your content or data; (d) your infringement of any third-party rights.

12. Termination

You may terminate your agreement with us at any time by cancelling your account. We reserve the right to suspend or terminate your access for any reason, including violation of these Terms. Upon termination, your right to use the services ceases immediately, though certain provisions will survive.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. Any disputes arising from these Terms or the services shall be submitted to the federal or state courts located in Santa Clara County, California, and you consent to the exclusive jurisdiction of such courts.

14. Dispute Resolution

We are committed to resolving disputes amicably. Before initiating any formal legal proceedings, you agree to first contact us at legal@statspai.com to attempt to resolve any disputes through informal negotiation.

If the dispute cannot be resolved through negotiation within 30 days, either party may seek formal legal remedies.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of changes by updating the "Last Updated" date on this page. For material changes, we will send you a notification via email or in-service notice. Your continued use of the services after modifications take effect constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and StatsPai, Inc. regarding the use of our services and supersede any prior oral or written agreements.
